Agreement to these Terms

We are Independent Title of Fort Lauderdale, Inc., doing business as TitleQuote.online (“Company,” “we,” “us,” or “our”). We operate https://www.titlequote.online and the TitleQuote studio, widget, quote emails, and related tools that link to these Terms of Use (together, the “Services”).

These Terms are a binding agreement between you — whether you act for yourself or for a title company or other business — and Independent Title of Fort Lauderdale, Inc. dba TitleQuote.online. By creating an account, embedding the widget, clicking through these Terms, or using the Services, you agree to them. If you do not agree, do not use the Services.

We may revise these Terms from time to time. The “Last updated” date will change when we do. Continued use after a revision is posted is acceptance of the revised Terms.

1. The Services

TitleQuote is a multi-tenant Florida title-quote tool. An office can create a branded studio, set fee labels and a disclaimer, copy an install snippet, and display a floating calculator on that office’s website. A visitor can enter deal facts and receive an on-screen estimate and, if they choose, a branded email. The office receives a lead and typically a copy of that email.

The Services are designed for Florida closing estimates (cash purchase, financed purchase, seller net sheet, and refinance), including promulgated title-insurance premium math, documentary stamp and intangible tax estimates, recording estimates, and office-configured settlement fees. Features may vary by office. If you access the Services from outside Florida, you are responsible for local law.

2. Two kinds of users

Independent Title of Fort Lauderdale may itself run an install for its own closings. Other offices are customers of the platform. They are not our partners, insurers, or agents merely because they embed TitleQuote. A quote generated on another office’s install is that office’s estimate, not a quote from Independent Title, unless that install is Independent Title’s own.

• Offices (subscribers). A title company or other business that creates a TitleQuote account, configures branding, and embeds the widget. An office uses the Services to quote and capture leads.
• Visitors. A person who opens the calculator on an office’s website (or on our demo) and types deal facts. A visitor may send a quote to an email address they provide.

3. Accounts and the office studio

Offices must provide accurate company name, contact email, phone, and login credentials, and keep them current. You are responsible for activity under your account and for keeping the install snippet and login confidential. We may refuse, suspend, or close an account that is inaccurate, abusive, unpaid, or in breach of these Terms.

4. License to use and embed TitleQuote

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license.

• Offices: access the studio; configure branding, fee labels, and a disclaimer; embed our official loader snippet on websites the office controls; and use resulting quotes and leads in that office’s title and escrow business.
• Visitors: open the widget and use an estimate for personal evaluation of a possible closing, or in connection with a transaction the visitor is considering with that office.

5. Subscriptions, trials, pause, and deletion

Paid access is sold as a subscription displayed in the studio. Prices, trial length, and included features are as shown at checkout or in the studio at the time you subscribe. Payment is processed by Stripe. We do not store full card numbers.

If a subscription is past due, canceled, unpaid, or otherwise not in good standing, we may pause the office. While paused, the widget does not appear and quote emails do not send. Deletion removes that office’s branding, leads, and install key from active systems. Fees already paid are not refundable except where Florida law requires otherwise. Payment for TitleQuote is not payment of a title premium.

6. Quote calculations are estimates only

Every on-screen result, emailed quote, and lead summary is an estimate only. It is produced from numbers the user types and from settings the office saved.

A TitleQuote result is not a title insurance commitment, binder, or policy; not an offer to insure; not a title search or examination; not a Loan Estimate, Closing Disclosure, or other TRID / RESPA form; not legal, tax, or escrow advice; and not a quote from Independent Title of Fort Lauderdale unless the widget is Independent Title’s own install.

Florida title-insurance premiums are promulgated (including Rule 69O-186). Promulgated rates, taxes, and recording charges change. An office may override a title-insurance line. Other fees are that office’s figures or placeholders. No one should close, wire funds, or issue a commitment in reliance on the widget. An escrow officer at the issuing agency must verify every figure before closing.

Each office may edit the disclaimer shown in the widget and on the email. That custom text does not reduce this Section 6. We may append or restore an estimate warning if an office’s disclaimer is empty or misleading.

7. Office responsibilities

• Use a truthful company name, logo, phone, and email.
• Keep fee labels honest. Do not present a promulgated title premium as discounted or guaranteed in a way Florida law does not allow.
• Keep an estimate warning in your disclaimer.
• Place the official snippet only on sites you control, and use leads only as the law allows.

8. Visitor leads and quote emails

If a visitor submits a name and email to send the quote, we email the estimate to that address, typically copy the office (BCC / reply-to), and store a lead for that office (name, email, property, quote type, county, property type, price, loan, totals, and summary). The office is responsible for follow-up. Delivery is not guaranteed.

9–14. Use, IP, changes, and termination

You represent that you have capacity to agree, that office accounts are opened by someone authorized to bind the business, that you are not a minor, and that you will not scrape, impersonate, circumvent pause or install-key controls, or use the Services unlawfully.

We own the software, rate tables, and TitleQuote marks. Offices keep their own names, logos, and leads, and grant us a license to host branding, leads, and emails to operate the Services. Feedback you send may be used without payment.

We may change or discontinue features without liability and do not promise uninterrupted uptime. We may pause or delete an account for breach, non-payment, or as the law allows.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU USE THE CALCULATOR AT YOUR SOLE RISK.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CLOSINGS, OR LOST DATA, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED DOLLARS (US $100.00) IF YOU PAID US NOTHING.

17. Indemnification

You will defend and indemnify us from claims arising out of your use of the Services, your branding or custom disclaimer, your follow-up with a visitor, or a visitor’s reliance on an estimate generated on your install.

18–20. Communications, Florida law, miscellaneous

Using the studio, submitting a quote form, and emailing us are electronic communications and satisfy any writing requirement.

These Terms are governed by Florida law. Before filing a lawsuit, the parties will try to resolve the dispute informally for thirty (30) days. Exclusive venue is the state courts in Broward County, Florida. Disputes must be brought individually; no class action to the extent the law allows.

These Terms and the Privacy Policy are the entire agreement about the Services. The Services are a software estimate tool, not the issuance of title insurance.
